November 25, 2025 Millburn Township Charter Study Commission Meeting Minutes 1 Minutes of the Organization Meeting of the Charter Study Commission of the Township of Millburn, in the County of Essex, New Jersey, held at the Millburn Education Center, 434 Millburn Avenue, Millburn, starting at 7:00 PM on the above date. The Millburn Township Municipal Clerk, Christine Gatti, welcomed those present and read the following notice: In accordance with Section 5 of the Open Meetings Act, Chapter 231, Public Laws, 1975, be advised that notice of this meeting was made by posting on the Bulletin Board in Town Hall, and forwarding to the officially designated newspapers, that this meeting would take place at the Millburn Education Center at 7:00 PM on Tuesday, November 25, 2025. Meeting details and the draft agenda were posted on the Township website. All those in attendance joined in the Salute to the Flag. Ms. Gatti announced that at the 2025 General Election the following members have been certified and elected to serve on the Millburn Township Charter Study Commission: Jerry Kung, Christopher Drucker, Shaunak Tanna, Corey Biller and Joanna Parker-Lentz Ms. Gatti administered the Oath of Offices to Jerry Kung, Christopher Drucker, Shaunak Tanna, Corey Biller and Joanna Parker-Lentz and they all then took their seats at the dais. Upon call of the roll, the following Charter Study Commission members were recorded present: Corey Biller, Christopher Drucker, Jerry Kung, Joanna Parker-Lentz, Shaunak Tanna Also in attendance: Christine Gatti, RMC, Municipal Clerk; Victoria Lucido, Special Election Counsel Municipal Clerk Gatti called for nominations for Chair for the Charter Study Commission. Mr. Biller moved to nominate Christopher Drucker to serve as Chair which was seconded by Ms. Parker￾Lentz. Municipal Clerk Gatti asked Commissioner Drucker if he accepted the nomination, he did. Municipal Clerk Gatti called for any other nominations. Receiving none, Municipal Clerk Gatti called the Roll Call Vote to appoint Christopher Drucker to serve as Chair of the Charter Study Commission. Roll Call Vote: All Ayes Commissioner Drucker was elected Chair and he took his seat as Chairman. Mr. Drucker called for nominations for Secretary. Mr. Biller nominated Commissioner Jerry Kung to be appointed as secretary, which was seconded by Ms. Parker-Lentz; Dr. Kung accepted the nomination. Mr. Drucker called for any other nominations. Receiving none, Mr. Drucker called the Roll Call Vote to appoint Dr. Jerry Kung to serve as Secretary of the Charter Study Commission. Roll Call Vote: All Ayes Mr. Drucker noted it was expected that the Commissioners would consider appointing both Vice Chair and Treasurer at their next meeting. He advised that the Charter Study Commission does not set policy and reviewed the goals and objectives of the Commission which was to study the townships charter and form of government and report accordingly to the township. Public Comment Mr. Drucker made the following statement: “When invited to speak to offer your comments, please come to the lectern, clearly state your name and whether you are a Millburn resident and/or property or business owner. You will be prompted when there is 30 seconds remaining.” Mr. Drucker opened the public comment period and no one wished to be heard so he closed public comment period. Dr. Kung stated that he hopes the public will be engaged in this process because one of their goals was that this would be a collaborative process. Mr. Drucker agreed that they want public input so they can conduct a thorough investigation. Resolutions Resolution 25-001 Mr. Drucker and Ms. Gatti asked if any of the Commission members had any comments regarding Resolution 25-001. Dr. Kung made a motion to approve Resolution 25-001 which was seconded by Mr. Tanna. Roll Call Vote: All Ayes RESOLUTION 25-002 ADOPTING ROBERT’S RULES OF ORDER AS THE PARLIAMENTARY PROCEDURE FOR THE CHARTER STUDY COMMISSION WHEREAS, the Charter Study Commissioners (“Commission”) of the Township of Millburn was duly elected and convened pursuant to N.J.S.A. 40:69A-1 et seq. for the purpose of examining the form of government of the municipality and making such recommendations as may be appropriate; and WHEREAS, the Commission recognizes the importance of conducting its meetings in an orderly, transparent, and efficient manner that ensures fair opportunity for participation by all Commissioners; and WHEREAS, the Commission finds it advisable to adopt a standard set of parliamentary procedures to govern the conduct of its meetings, deliberations, and decision-making processes; and WHEREAS, Robert’s Rules of Order, is a widely-used and well-recognized parliamentary authority that provides comprehensive guidance for meeting procedure and promotes consistency, fairness, and clarity. NOW, THEREFORE, BE IT RESOLVED by the Charter Study Commissioners of the Township of Millburn that: 1. Adoption of Rules. The Commission hereby adopts Robert’s Rules of Order as the parliamentary authority governing the conduct of all meetings of the Commission, except where such rules are inconsistent with applicable New Jersey statutes, municipal law, or specific procedural rules adopted by the Commission. 2. Conflicts of Law. In the event of any conflict between Robert’s Rules of Order and applicable state law, municipal law, or the Commission’s own adopted procedures, such laws or adopted procedures shall prevail. 3. Effective Date. This Resolution shall take effect immediately upon adoption.� November 25, 2025 Millburn Township Charter Study Commission Meeting Minutes 4 New Business Commission Next Steps: Draft Bylaws, Proposed Interviews and Administrative Needs Dr. Kung advised that draft bylaws were provided in order for the Commissioners to review, consider and provide comment. He further advised that interviews would be arranged for those who served on prior Committees and/or worked for the township in the past in order to provide insight to the Commission as they review Millburn’s government. He reviewed the history of prior charter study review. A discussion ensued among the Commission regarding next steps, involving similar communities for comparison, considerations on who to interview and standard interview questions. Dr. Kung went through the Charter Study Commission review process and phases. Ms. Parker-Lentz suggested the Commission put something out for the public in order to effectively gather input. Mr. Biller agreed and noted that perhaps some public relations may be helpful to get their meeting details and information out to further solicit public engagement. Mr. Drucker reviewed the next month of meeting details and options on future meeting locations. Ms. Parker-Lentz noted that the Commission internally can handle a majority their administrative needs in order to be frugal. Dr. Kung noted that he did contact Red Bank about their legal costs and they spent about $34,000 on legal. The Commission reviewed the option and process of retaining legal counsel in order to assist with their processes and reporting. Dr. Kung advised that an email was set up for the Commission and it is [email protected] and the Commission reviewed best practices on contacting and responding to those who reached out to the Commission. Ms. Parker-Lentz suggested an auto responder for their emails so the process is clear to those who reach out. A reminder to help facilitate an orderly meeting and to permit all to be heard, speakers shall limit their comments to one 3-minute session.” Mr. Drucker opened the public comment period. Frank Saccomandi, resident and Township Committee member, thanked all the Commissioners for stepping up and serving in this important initiative. He advised this is a mandate from our public. He suggested there always be a remote ZOOM option and to capitalize on the momentum. Jeff Feld, resident, agreed with Mr. Saccomandi and recommended that past reports and information on the charter study be posted for the public. He reviewed the history and importance of the Faulkner Act. Kris Heinrichs, resident, agreed with Mr. Saccomandi and noted that there was a lot of interest in this topic. He recommended the Commission move quickly and get public engagement. Adjournment Mr. Drucker made a motion to adjourn the meeting, which was seconded by Mr. Biller and was carried unanimously.
