December 18, 2025 Millburn Township Charter Study Commission Meeting Minutes 1 Minutes of the meeting of the Charter Study Commission of the Township of Millburn, in the County of Essex, New Jersey, held on Zoom starting at 7:00 PM on the above date. Mr. Drucker welcomed those present and read the following notice: In accordance with Section 5 of the Open Meetings Act, Chapter 231, Public Laws, 1975, be advised that notice of this meeting was made by posting on the Bulletin Board in Town Hall, and forwarding to the officially designated newspapers, that this meeting would take place on Zoom at 7:00 PM on Thursday, December 18, 2025. Meeting details and the draft agenda have been posted. All those in attendance joined in the Salute to the Flag. Upon call of the roll, the following Charter Study Commission members were recorded present: Corey Biller, Jerry Kung, Joanna Parker-Lentz, Shaunak Tanna, Christopher Drucker. Mr. Biller made a motion to approve the agenda, seconded by Ms. Parker-Lentz. All present voted in favor. Dr. Kung made a motion to approve the December 4, 2025 meeting minutes, seconded by Ms. Parker￾Lentz. All voted in favor. Reports Dr. Kung requested that commissioners send him their availability for scheduling meetings after January 8th to facilitate proper noticing and booking of in-person meeting locations. Public Comment Mr. Drucker opened the public comment period. Jay Morreale, speaking on behalf of the Board of the Short Hills Association, commended the Commission on its community outreach plans and selection of Michael Collins as legal counsel. He suggested improving agenda accessibility on the Commission website and making public comment more interactive without hard time limits. He asked whether the Commission had considered hiring a municipal government expert and whether specific problems with the current form of government had been identified. He urged the Commission to take necessary time within Faulkner Act constraints. Commission members responded that they appreciated the suggestions and would work on improving agenda accessibility and public outreach. They clarified the Commission is in the learning phase, has made no policy decisions, and is being efficient. Regarding the municipal government expert, the Commission noted Red Bank hired one prior to their charter study due to pervasive issues, which Millburn has not discussed needing. The Commission emphasized maintaining confidentiality of interview responses while conducting thorough work. Resolutions Resolution 25-004: Authorizing Award of Contract for Legal Services - Charter Study Commission Attorney [King, Moench & Collins LLP] The resolution authorizes appointment of Michael L. Collins of King, Moench & Collins LLP as counsel at a blended rate of $225 per hour, not to exceed $45,000. Mr. Biller asked about negotiating a discounted rate if the $45,000 threshold is exceeded. Dr. Kung noted this is unlikely based on Red Bank's $34,000 spend, and the question could be addressed during contract negotiations.� December 18, 2025 Millburn Township Charter Study Commission Meeting Minutes 2 Ms. Parker-Lentz moved to approve Resolution 25-004, seconded by Mr. Biller. Roll Call Vote: All Ayes Old Business Item 1: Interviews Dr. Kung reported that he and Mr. Drucker interviewed Township Clerk Christine Gatti (part one) and Tim Hoffman. He and Ms. Parker-Lentz are scheduled to interview Business Administrator Alex McDonald on Tuesday. Ms. Parker-Lentz reported that by end of the following day, all five active Township Committee member interviews will be completed. Information is being synthesized and will be circulated to commissioners. Department head interviews are being scheduled for next week before the holiday break. Commission members emphasized they are conducting this process with an open mind, maintaining confidentiality of individual responses while providing comprehensive collective reporting. All interviewees have agreed to follow-up interviews as needed. Item 2: Community Outreach The Commission discussed improving community outreach. Ms. Parker-Lentz and Dr. Kung agreed to draft FAQs for the website by end of year. The Commission discussed creating business cards with QR codes linking to the website for distribution at train stations and downtown locations. Ms. Parker-Lentz offered to arrange printing. Dr. Kung noted that CFO Matt Laracy requested a total anticipated 2026 budget estimate. The Commission discussed potential costs including legal services ($45,000), printing/outreach materials, and final report printing. Total estimated budget discussed was approximately $50,000-$55,000. Public Comment Mr. Drucker opened the second public comment period. Jay Morreale suggested providing adequate budget cushion. He asked whether the Commission plans to publish interview questions and anonymized summaries, how the Commission would handle discovery of improper interactions between officials and employees, expressed concern about consistency with public input goals, and asked how the public can be assured the Commission wonât be influenced by TC membersâ stated preferences. Commission members clarified the timeline for initial TC member interviews. They discussed the merits of publishing interview questions versus maintaining spontaneity in responses. The Commission emphasized its mandate is addressing systemic issues rather than investigating individual violations, and all commissioners are bound by their oath to conduct the study objectively. Jeff Feld asked about website contact information and organization charts. He suggested using college students during holiday break to research surrounding municipalitiesâ administrative codes and government structures. The Commission indicated it would take all suggestions under advisement and noted it had already begun comparative research on surrounding municipalities.
