SID Budget Status 2. SID Review Committee Status Reported that the SID budget was approved by a unanimous vote of the Township Committee on December 13. No additional information was available at the time of the meeting concerning the SID Review Committee. We have posted in English, Spanish, Ukrainian, French, Hindi, Korean and Portuguese. We have one in Chinese currently being recorded. We have had 9,329 views for an average of 1,332 views per pos. © âIt's Cold - Shop from Homeâ - We are offering two gift cards worth twice the amount spent (up to $500) through an online contest. We pulled the first winner last week and will do another after New Years, © Santas Mailbox - We have installed a mailbox at the corner of Essex Street and Main Street (clocktower). Every time someone shops in a local store, they can take a branded envelope from a store or other pick up locations and be entered to win a $50 gift card. We have collected 77 already and pulled the first three winners. Each envelope has the person's name, email and phone number so we can build our distribution list. We will also track total spending at the end of the contest and present at the January meeting. 2026 Holiday Lighting and Winter Plantings © This year, we and the township received a number of complaints about the amount and quality of the holiday lighting and decor around town. While the town did hire a vendor that we vetted last year and installed lighting on the Downtown street poles, the clocktower area and the Taylor Park gazebo - more can be done. © The installer and DPW have run into a number of electrical issues which need to be addressed and next year, Mr. McDonald has assured us that an ad-hoc committee will be established to plan for holiday decor. Explore will lead that effort with input from residents and business owners. The same goes for winter plantings which can be very difficult to maintain in cold weather but we will work on a plan for that as well. © 8. Stoller offered to assist with JCP&L issues related to light poles once the Holiday Decor Committee makes recommendations | New Businesses/Closed Businesses © We are currently at the lowest commercial vacancy rate since we began tracking in mid-2020 at just 3.27%. © Three businesses have opened since our last meeting - Scheier Dental Group in the Wyoming Business Center, Tanboga Rugs on Farley Place and LG Speech Therapy ina second floor office downtown. o Asa note, last month Mariachi closed and was replaced by Guacamole which is now fully âopen. Also, Short Hills Club Pilates was recently approved to occupy the vacant space directly next to their space on Morris Turnpike to enlarge their footprint. © We have a number of properties coming online in January and February including I-Scream House Ice Cream, Peel'd Juice Bar and Craft and Mill Barber House. Dell Dill Millburn at the former Common Lot is going through the approval process as is STRONG Pilates owned by the owner of SweatHouse and a new Compass Real Estate office above Millburn Indoor Golf Finally, | have been working with the new owner operator of 565 Millburn Avenue - the former bridal store - which is going to be opening as a kitchen and bath showroom in summer 2026. TwoCents I spoke with representatives from the Montclair Center BID and South Orange Downtown as well as Greg - the owner of Jack's in Short Hills and Montclair. Jack's Montclair finds the program very useful and the two BID both said that they think it is an excellent tool - albeit somewhat too new to give a quantitative report. They said the team is very engaged with the businesses and very responsive to requests for assistance. Overall the concept has been very well received by shoppers who do not want to make comments in âpublic forums. Board instructed S. We are trying to build energy, excitement, and reasons for people to come here and stay here. Yet the organization doing this work cannot move forward without full support. Ben, we are looking to you for support. You have been on this board for three years, and you understand how complicated it is to run an organization of this size with so many moving parts. We ask that you stress to the Township Committee how indecision hurts operations and, ukimately, hurts businesses. âThis conversation is not new. Last year, Nadege and I sat here and discussed the SID contribution. | think it's important to put this into perspective. âThe tax rate in Millburn is approximately 25%. The SID assessment this year is 009%. That is nine ten-thousandths of one percent. âThink about what we get for our money. Homeowners contribute roughly $8.33 per household toward the executive director's portion of the SID budget. In return, residents benefit from events designed specifically for them. Over 30 summer music programs. Community-focused events. Programming that brings residents into town and keeps them here. That feels like a no-brainer. 50 I ask this honestly. Do we want a vibrant business district or not? Because without Explore, we risk becoming a ghost town. We lose the one organized voice advocating for businesses. And once that voice is gone, it will be very hard to rebuild. Vm asking for clarity. Fm asking for action. And most of al, 'm asking for support. Support the organization that supports the community. Support the businesses that keep this town alive. Thank you. 'm disappointed. We currently have three vacant seats on the Explore Millburn- Short Hills board, and they have not been filled. That matters. An organization cannot function properly without a full board. Decisions stall. Progress stalls. Momentum stalls. So my first question is simple. What is the process to appoint these members? And more importantly, when will it happen? Because right now, Explore feels stuck. Not because of the organization itself, but because itis being treated like a political tool instead of what it is meant to be: a support system for the business community. That is exhausting. Businesses may not be the biggest taxpayers in town, but we are taxpayers. We are here every single day. We open our doors. We employ people. We invest in this community. Yet we constantly feel pulled into a push-and-pull with the Township Committee instead of supported. And frankly it often feels like no one is advocating for us except Explore. Another issue | truly don't understand is the negative framing of events, raffles, and programming. These are not problems. o These are tools. «Events bring people into town. «Events create foot traffic. «Events support restaurants, shops, and services, 50 why are they being questioned as if they are doing something wrong? © Why aren't we embracing these efforts instead of criticizing them? Business is changing. Business is growing. The World Cup is coming, and with it comes the opportunity to create themed events, Girlsâ Nights Out, and other programming designed to bring people into town. These are the moments we should be leaning into. FASB ASC 9538-10-65, Presentation of Financial Statements of Not-for-Profit Entities establishes standards for external financial reporting by not-for-profit organizations and requires that resources be classified for accounting and reporting purposes into two net asset categories: net assets with donor restrictions and net assets without donor restrictions. Contributions that are restricted by the donor are reported as increases in net assets âwithout donor restriction if the restrictions expire in the fiscal year in which the contributions are recognized. Jersey limited liability company ("MSP"). All Programs and services described herein shall be governed exclusively by the terms of this Agreement and Exhibit A (World Cup Activation Series). 1. PROGRAM SERVICES MSP shall plan, curate, recruit participants for, market, produce, and manage the multi-week World Cup activation series identified in Exhibit A (the âProgramâ, including retail and restaurant activations, promotional programming, signature: Programs, and final match viewing components. 1.2 Operational Control MSP shall retain sole and exclusive discretion over programming forma, vendor/participant standards, pricing structures, Program layout, staffing levels, scheduling, marketing deployment, sponsorship structure, and operational systems. 1.3 Standards of Performance MSP shall perform its obligations in a commercially reasonable manner consistent with industry standards for professional downtown and community activation programming. 2. FEES AND PAYMENT TERMS EMS shall provide MSP with the fees set forth in Exhibit A. 2.1 Non-Refundable / Earned Fees All deposits and funding provided to MSP are non-refundable. Once MSP has commenced planning, vendor recruitment, marketing, site coordination, staffing, or event production, all Fees shall be deemed fully earned, regardless of whether an Event is âmodified, relocated, or partially canceled for any reason, including municipal, weather, or public safety determinations. ; 22 Late Payments Any unpaid balance shall accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. shall be responsible for all reasonable costs of collection, including attomeysâ fees and costs. 3. EXCLUSIVITY & NON-CIRCUMVENTION 3.1 Proprietary Assets Explore Millburn Shorthills acknowledges that MSPs vendor network, recruitment methods, pricing models, sponsorship structures, event formats, marketing systems, and operational processes constitute proprietary and confidential business assets of MSP. 3.2 Non-Solicitation / Non-Circumvention During the Term of this Agreement and for twenty-four (24) months thereafter, EMS or its representative(s) shall not, directly or indirectly: (a) solicit, contract with, or engage any vendor, sponsor, performer, or partner introduced by MSP for any competing or substantially similar event without MSPâs prior written consent; or (b) use MSPâs vendor list, event formats, operational systems, sponsorship structures, or marketing methods to replicate, assist in producing, or support a substantially similar even, 4. FORCE MAJEURE Neither party shall be liable for delay or failure caused by Programs beyond reasonable control including weather, government orders, public safety restrictions, or emergencies. 4.1 Event in Progress IFMSP has commenced staffing, vendor coordination, marketing deployment, sponsorship outreach, or site production, the Event shall be deemed "in progress", and all Fees shall remain due and payable. ; 5. PERMITS, SITE CONTROL & INSURANCE EMS shall coordinate and secure required municipal approvals and maintain general Hiability insurance for program activites and name MSP as additional insured where required. MSP shall not be required to name EMS as additional insured unless required by the permitting authority. 6. MUTUAL INDEMNIFICATION Each party shall indemnify, defend, and hold harmless the other party and its members, âmanagers, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attomeysâ fees and costs) arising out of its own acts, omissions, negligence, or breach of this Agreement, including claims for bodily injury, property damage, or regulatory non-compliance. 7. INTELLECTUAL PROPERTY All Program formats, concepts, materials, and systems created by MSP remain MSP intellectual property. EMS receives a limited license for use solely in connection with the Program. 8 MARKETING & PUBLICITY 8.1 Mutual Promotion MSP may reference the partnership and Events in social media, press releases, newsletters, and promotional materials unless EMS provides written objection in advance. 8.2 Creative Assets EMS shall provide MSP with any approved logos, branding, and creative assets identified in Exhibit A in editable format. MSP retains final editorial and deployment control over all marketing materials. 9. TERMINATION FOR NON-PERFORMANCE MSP may terminate this Agreement immediately upon written notice in the event of a âmaterial breach, including failure to pay Fees, violation of exclusivity or non-circumvention provisions, misuse of MSP intellectual property, or failure to maintain required insurance. All earned Fees shall remain due and payable to the end of the month ; when the contract is terminated. Additionally, EMSH may terminate the contract for cause immediately upon written notice for failure to perform. EMSH will be responsible for paying the balance due for the month in which the cancellation occurs. 10. LIMITATION OF LIABILITY To the maximum extent permitted by law, MSPâs total liability under this Agreement shall not exceed the total Fees actually paid by EMS to MSP. In no event shall MSP be liable for any indirect, incidental, special, consequential, or lost-profit damages. 11. INDEPENDENT CONTRACTOR 11.1 No Responsibility for Independent Contractors or Subcontractors MSP may engage independent contractors, vendors, performers, instructors, technicians, âand other third parties in connection with the Events (collectively, âEvent Subcontractorsâ). All Event Subcontractors shall be deemed independent contractors of MSP, and not employees, agents, or representatives of MSP. MSP shall not be responsible or liable for the acts, omissions, misconduct, negligence, supervision, control, behavior, or performance of any Event Subcontractor, except to the limited extent required by applicable law: Each Event Subcontractor shall be solely responsible for its own conduct, personnel, equipment, insurance, and compliance with applicable laws and regulations 12. GOVERNING LAW âThis Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict-of-laws principles. Any legal action, suit, or proceeding arising out of or relating to this Agreement shall be brought exclusively in a court of competent jurisdiction located within the State of New Jersey. In any action or proceeding arising out of or relating to this Agreement, the prevailing party shall be entitled to recover its reasonable attomeysâ fees, court costs, and litigation expenses from the non-prevailing party, in addition to any other reef to which such party may be entitled. 13. ENTIRE AGREEMENT ; âThis Agreement and Exhibit A constitute the entire agreement and supersede prior agreements.
