Grillo explained there was an unintentional omission in the minutes for December 18, 2025. It was reported to me at the last meeting and | have corrected it. The original minutes left out the approval of the 2026 contracts for Radiancy Communications (Michelle Lemieux) Creatives by Corinne (Corinne Mahoney) and Mr Slattery’ firm, Cooper LLC. It was reflected on the closed session minutes but | forgot to include those approvals on the public session minutes as being voted on in the public session - which did occur. Zaltsman - Unanimously Approved TREASURER'S REPORT — Steve Grillo «Approval of the 2026 Assessment Roll The 2026 Assessment Roll was approved unanimously by the Township Committee at their meeting on February 17. Only Mr. Feld and Mrs. Urso spoke in opposition. The assessment for 2026 will be $253,834 which is being assessed at a rate of .001% of assessed commercial value. The bills went out last week and we should begin collecting revenue at the end of March. We then request payments on a monthly basis «Expenses through January 31, 2026 (Attachment 4) As of January 31, we had $29,307 in the bank but we received the $57,157 due to us from the town as their contribution to my compensation so as of this report - February 4 - we have $87,461. The town has also paid us for all of our 2025 reimbursements that were due. «Sponsorship Report (Attachment 5) We had a very successful meeting with past sponsors and current targets earlier this month. We have secured 10 sponsors thus far with about a dozen others in the works. Our total committed as of today is $14,160. We also launched a new sponsor level this year called “Friend of EMSH." For $1,000 a business that s outside the SID boundaries can become a de-facto SID member and receive benefits like any other SID business. ‘Some examples include Mia Famiglia on Main Street and Pilates Addition Short Hills at the Harth - both are outside the SID boundaries. * Acceptance of 2025 Draft Audit (Attachment 6) There is very little to report as we are in a very strong financial position. For the sake of the public record, | am going to address some of Mr. Feld's comments on Facebook earlier this week concerning the audit. © We did have a surplus at the end of 2025 but that was because we raised $51,000in sponsor revenue. This is not a reason to reduce the assessment however, as this is discretionary income and not guaranteed. This should be seen as a success, not a liability. © The audit does not mention the appointment versus election of board members because tis irrelevant to the financial position of the organisation and that was already litigated in Bear Properties | which Mr. Feld lost as a plaintiffs attorney. © Accordingly, the audit does not make mention of the Bear Properties | and Il cases because the organization did not spend any money on the defense by Mr. Slattery. The township incurred that cost on our behalf. Motion to Accept Audit and Transmit to the NJDCA - A. Zaltsman, Second by R. Wasserman - Unanimously Approved «Proposal for Audit Services for Fiscal Years 2026, 2027 and 2028 (Attachment 7) For the past three years we have been working with Weilkotz and Company as our auditor. Our contract concluded with the 2025 audit and | asked them to provide me with a proposal for 2026, 2027 and 2028 which is included as Attachment 7 in your packet. They are proposing an increase of $250 per year for a total of $6,750 for 2026, $7,000 for 2027 and $7,250 for 2028. This pricing is in ine with what other BIDs pay for audit Services. There was a discussion regarding potential changes to the SID ordinance but there was no progress at that time. MARKETING & EVENTS DIRECTOR REPORT - Corinne Mahoney «Promotion © 2026 Event Schedule (Attachment 8) © Film Ready NJ Status © FilmReadyNJ is a state-wide certification program of the New Jersey Motion Picture & Television Commission (NIMPTVC) designed to prepare towns to host ‘motion picture and television productions. FilmReadyNJ has provided us with a draft internal red lined ordinance. We believe that the required ordinances we'd have to amend/put into place in order to be compliant with FilmReadyNJ's standards require giving up too much focal control and does not offer enough oversight and regulation. We are not going to pursue changing the ordinance and trying to get the designation but can still upload our locations and business into the online directory © Bird Bingo with Cora Hortshorn Arboretum Ist event in our Shop & Stroll series and spearheaded by the Arboretum. We are helping to promote/organize. Runs from Feb 27-Mar 27. Participants will visit businesses on board and get a slot “marked” off with a sticker and be entered to win prizes. Completed bingos are entered into raffle for prizes from participating businesses © Paper Mill Playhouse Cooperative Marketing Program (Attachment 9) Last year the team from Paper Mill came to a board meeting and requested matching funds from Explore - as well as the Chamber of Commerce - for a state grant program which supports marketing for local cultural organizations. They received the grant and they are moving forward with a digital marketing campaign to attract New York City residents to Millburn and the Playhouse in particular. As such, | wanted to let the board know that they are moving forward and that | will provide them with a check for the funds which were allocated as a separate budget line in the 2026 budge. © Approval of the Main Street Pops World Cup Contract (Attachment 10) Explore has spoken with various event planning consultants to assist us with the planning of multiple events, marketing efforts and social media content. We have selected Main Street Pops as the vendor. The contract calls for a total compensation of $12,500 to be paid in monthly installments by the Township - there is no cost to Explore. « Design © Holiday Decor Ad-Hoc Committee Status Meant to create cohesion between departments and get everyone on the same page for the decor in town. Had 1st planning meeting at the beginning of the month. Lots of discussion on ideas: bows, wrapped poles, garlands, arch. Next steps are to take inventory of what decor we have (snowflakes and soldiers) © Public Art Master Plan RFP - Refer to Design Committee We are seeking a consultant to develop a comprehensive, inclusive, and. actionable Five-Year Public Art Master Plan (2027-2031). The Master Plan wil serve as a long-term roadmap to integrate public art—expanding beyond murals toinclude sculpture, light installations, and interactive art. The budget for the consultant compensation is $7,500 and the Design subcommittee will review the submissions and make recommendations on how to proceed with interviews and selection. EXECUTIVE DIRECTOR REPORT - Steve Grillo Economic Vitality © New Businesses/Closed Businesses Since our last meeting, one new storefront business has opened - Compass Real Estate - ight above Millburn Indoor Golf. We had one storefront close - Design Hub at Millburn and Main. They will be replaced by a home and bath store from central Jersey in the coming weeks. We also know that the owner of Plume Studio on Lackawanna is retiring and moving so we are working with her on some succession planning including selling equipment. Braid Hive in Downtown is also moving to a new location in Union with better parking. Birch Hill Landscaping on Chatham Road was recently sold after 30+ years and a new tenant will be taking their place in the coming weeks. © Free 1 Hour Parking Pilot at Parking Deck have been working with the Business Administrator and the Traffic Sergeant on ways to increase use of the municipal parking deck and to reduce street and surface lot congestion. Lost week the Township Committee approved a resolution for a nine month pilot project which will offer 1 hour free parking in the Parking Deck. We will have a variable message sign posted at the Essex Street entrance and we are also working with Paper Mill Playhouse to have their shuttle moved from Lot 1 (clocktower) to the Parking Deck which will be a much safer location and a good way to incentivize parking in the deck. © Minority, Woman and Immigrant Owned Business Report At the last meeting Ben asked me to look into how many businesses are owned by women, minorities and immigrants. | categorized our database to the best of my knowledge and while thi is an inexact estimate | was able to come up with numbers. Of the 540 businesses in the BID, | estimate that 500 are small businesses - non corporate owned. 196 (about 36%) are woman owned, 126 (about 24%) are minority owned and 120 (about 23%) are immigrant owned. When combining all three groups, 50 businesses (just about 10%) are owned by immigrant, woman minorities. © Zoning Improvements Presentation to Township Committee Recap. Last week Mayor Saccomandi invited me to speak before the Township Committee as a follow up to a meeting that | had with him and Committeeman Serruto on potential zoning improvements that can be made to improve business in town. We discussed removing the 125 foot prohibition for restaurants in Downtown as well as allowing for office and medical uses on the first floor in Downtown. The discussion was robust and the committee members asked some. great questions and had a variety of opinions to offer. | am waiting on the township planner to reach out to me about next steps to evaluate these proposals and 1 will keep you posted. «Organization © Main Street Ni/America Site Visit Recap = Current Scorecard & MSA Recommendations Discussion on Transformation Strategy Plan © Main Street Committee Assignments and Appointments (Attachment 11) On February 11, representatives from Main Street America and Main Street NJ performed their annual visit. We discussed our current scorecard and their recommendations for achieving all of our goals. We are currently at the first of two levels of Main Street America accreditation - Affiliate status. To advance to the next level - Accredited - we have to meet and maintain six framework goals ‘and nine baseline requirements. We are currently at four of the six framework goals and seven of the nine baseline requirements. ‘GENERAL PUBLIC COMMENTS Vicky Powell - Store Owner Applauded the Department of Public Works for their snow removal efforts. Supported the increase in double parking enforcement. Likes the Friday Marketing Message a lot. Asked why there are still two open board seats.
