Only Mr. Feld and Mrs. Urso spoke in opposition. The assessment for 2026 will be $253,834 which is being assessed at a rate of .001% of assessed commercial value. The bills went out last week and we should begin collecting revenue at the end of March. We then request payments on a monthly basis «Expenses through January 31, 2026 (Attachment 4) As of January 31, we had $29,307 in the bank but we received the $57,157 due to us from the town as their contribution to my compensation so as of this report - February 4 - we have $87,461. The town has also paid us for all of our 2025 reimbursements that were due. «Sponsorship Report (Attachment 5) We had a very successful meeting with past sponsors and current targets earlier this month. We have secured 10 sponsors thus far with about a dozen others in the works. Our total committed as of today is $14,160. We also launched a new sponsor level this year called “Friend of EMSH." For $1,000 a business that s outside the SID boundaries can become a de-facto SID member and receive benefits like any other SID business. ‘Some examples include Mia Famiglia on Main Street and Pilates Addition Short Hills at the Harth - both are outside the SID boundaries. * Acceptance of 2025 Draft Audit (Attachment 6) There is very little to report as we are in a very strong financial position. For the sake of the public record, | am going to address some of Mr. Feld's comments on Facebook earlier this week concerning the audit. © We did have a surplus at the end of 2025 but that was because we raised $51,000in sponsor revenue. This is not a reason to reduce the assessment however, as this is discretionary income and not guaranteed. This should be seen as a success, not a liability. © The audit does not mention the appointment versus election of board members because tis irrelevant to the financial position of the organisation and that was already litigated in Bear Properties | which Mr. Feld lost as a plaintiffs attorney. © Accordingly, the audit does not make mention of the Bear Properties | and Il cases because the organization did not spend any money on the defense by Mr. Slattery. The township incurred that cost on our behalf. Motion to Accept Audit and Transmit to the NJDCA - A. Zaltsman, Second by R. They are proposing an increase of $250 per year for a total of $6,750 for 2026, $7,000 for 2027 and $7,250 for 2028. This pricing is in ine with what other BIDs pay for audit Services. We had one storefront close - Design Hub at Millburn and Main. They will be replaced by a home and bath store from central Jersey in the coming weeks. We also know that the owner of Plume Studio on Lackawanna is retiring and moving so we are working with her on some succession planning including selling equipment. We will have a variable message sign posted at the Essex Street entrance and we are also working with Paper Mill Playhouse to have their shuttle moved from Lot 1 (clocktower) to the Parking Deck which will be a much safer location and a good way to incentivize parking in the deck. © Minority, Woman and Immigrant Owned Business Report At the last meeting Ben asked me to look into how many businesses are owned by women, minorities and immigrants. | categorized our database to the best of my knowledge and while thi is an inexact estimate | was able to come up with numbers. With five walkable commercial districts, each shaped by distinct architectural character and storefront thythm, the Special Improvement District requires a strategy that strengthens identity while respecting the local visual language of its architectural and urbanistic context. My professional foundation is in architecture and municipal public art leadership, and | approach public art planning as both spatial design and civic strategy. In Main Street environments, successful public art responds to scale, proportion, sightlines, materiality, and pedestrian cadence. Art should enhance the built environment, not compete with i. It must also work within the spatial constraints of older main streets, where creative interventions must stil allow space for access by all residents and visitors. The art must complement historic fagades, reinforce storefront rhythm, and contribute to a cohesive public realm experience. In historic commercial districts, this requires careful integration. Public art can activate edges. strengthen wayfinding support branding, and introduce contemporary expression, while remaining sensitive to preservation principles and the architectural language of place. Design- focused placemaking in these settings is most successful when its intentional, restrained where necessary. and aligned with long-term stewardship. Ata district-wide scale, the challenge becomes both creative and strategic: celebrating what makes each commercial node unique while identifying visual and conceptual threads that unify them under Explore’s leadership. This may include establishing consistent design principles. identifying appropriate typologies for different spatial conditions, integrating artist-designed functional elements, and developing phased implementation strategies that align with funding capacity. ‘Through Civic Centered, | have developed corridor-based public art frameworks for municipalities and improvement districts that balance creative ambition with operational realities. This includes funding pathways. permitting processes, installation logistics, material durability. maintenance planning, and governance structures. Public art should function not as decoration, but as civic infrastructure by supporting economic vitality. strengthening identity, enhancing streetscapes, and encouraging repeat visitation. Millburn-Short Hills deserves a Public Art Master Plan that is design-diven, context-sensitive, accessible, and implementable. This integrated approach - where architecture, placemaking. preservation, and long-term stewardship work together - is the foundation of my practice. | would welcome the opportunity to bring that perspective to Explore Millburn-Short His. rl MILLBURN - SHORT HILLS PUBLIC ART MASTER PLAN: A successful public art plan meaningfully connects people, places, and stories, both in ts creation and its implementation. Our approach balances creative thinking with practical experience, ensuring that the ideas that we recommend are aspirational, inspirational. and sustainable. The Public Art Plan will be developed through the following process: PHASE 1: PROJECT LAUNCH & EXPLORATION We will begin by building a strong understanding of Milburn-Short Hills' downtown environment. including the architectural character and spatial qualities of the five commercial districts, the existing public art collection, artistic and cultural resources, and the plans influencing future development This contextual research will be balanced with targeted outreach to key stakeholders identified by Explore. Through these conversations, we will better understand community priorities, partnership opportunities, and the aspirations guiding public art in Millourn-Short Hills SID. At the conclusion of this phase, findings wil be summarized and shared with Explore in 8 working session. This ensures alignment before moving into formal plan development. PHASE 2: PLAN DEVELOPMENT Inthis phase, research and stakeholder input are synthesized into a structured outline plan. We will develop: « Aclear articulation of project priorities + A’longlist” of potential public art locations, to be collaboratively refined with Explore: * Creative approaches tailored to each site « Acohesive artistic framework that ensures future works relate to one another, not as isolated installations, but as part of a thoughtfully curated collection “This phase focuses on shaping an artistic vision that is both aspirational and achievable. The framework willbe culturally responsive and grounded in Millourn-Short Hil's identity, demographics, and historic: character. The outline document willbe reviewed collaboratively with Explore and refined before moving to final production. PHASE 3: FINAL PLAN Upon approval of the outline, we will develop the final Five-Year Public Art Master Plan. ‘This document will serve as a clear roadmap for the next five years of art and creativity in Millourn-Short Hil. t will include: «Priority art locations and recommended typologies « llustrative precedent images to communicate possibilities «High-level budget guidance (excluding construction costs) « Phased implementation strategies * Funding pathway considerations. * Maintenance and stewardship guidance « Digital and communications recommendations to support an active online presence for ats and culture The final document will be organized, visually accessible, and designed for real-world use by Explore. its partners, and stakeholders. Note: Throughout the process we will have bi-weekly mestings with the project team to provide Updates, strategize on next steps as needed, and address Items that have come up for either party. Tio MILLBURN - SHORT HILLS PUBLIC ART MASTER PLAN: Project Kickoff The project will begin with a virtual kickoff meeting with the Explore team to confirm scope. schedule, deliverables, and roles. This conversation will ensure we are aligned on priorities, available resources, and decision-making processes before work begins. The kickoff will also clarify how this plan connects to Main Street goals and any parallel municipal initiatives. Research & Resource Review Civic Centered will review relevant background materials, including: + Existing strategic plans and municipal documents « Prior arts and cultural planning efforts * Evplore’s past public rt itaives © Overlapping redevelopment preservation, or economic development plans © Erin cogent ongRgST YANG Site Visit & Visual Audit Civic Centered will conduct a full-day. in-person site visit to Millburn-Short Hills. MeDona Alxander” cAMGBonad@ilburup, org, Sarid . Krtor” SHanior@atancoms Steve — Ithas come to my attention that Explore Milbur-Short Hills has issued a Request for Proposals and convened a Design Committee to develop a five-year Public Art Master Plan (2027-2031). | am writing to ask you to provide a formal witten explanation of the legal and operational basis for this undertaking before this process advances any further. Having reviewed the RFP in detail | have significant concerns about ts scope. The document describes the plan as a long-term roadmap fo integrating public art nto “the fabric of Milburn across a diverse range of locations." The scope of work directs the selected consulant to conduct “a visual and contextual audit of the SID and surrounding areas” — language that explicily places the work outside the SID's geographic boundaries. The plan further contemplates initiatives tied to the Paper Mill Playhouse and is role in “Millourn' arts ecosystem" — a scope that has nothing to do with the commercial improvement district the SID was created o serve. The SID was established under Ordinance 2561-20 for the express purpose of encouraging the economic development of the Township's Special Improvement District. Section 4(a) of hat ordinance explicitly states that special assessments “shall only be spent on those purposes permed by N.J.S.A. 40:56-65." | recognize that the Corporation's bylavis (Article If Section 2.01) contemplate some cultural and civic activities, but every purpose enumerated in that section is expressly limited to activities within oro the District. A township-wide public art master plan does nol meet thal standard. | would futher note that the 2026 budget allocates $4,000 in SID assessment funds to this project — meaning assessment dollars are directly at stake. 1 also have concerns about the process by which a consultant has been selected. Its my understanding that interviews were conducted by staff without the fll participation of the Design Committee, that the committee review meeting was subsequently cancelled, and that a consultant has already been informally notified of Selection — al prior to a Board vote. These steps raise Iegiimate questions about whether proper governance procedures are being followed. The SID's jurisdiction i defined by fs boundaries. When a project explicitly extends beyond those boundaries — as this one does by the SID's own wien descripion — it is no longer Solely an internal SID mater. It becomes a township mater. The Township Committee was not consulted. It should have been. I want to be candid with you about something broader. This iniative is not an isolated occurrence, and I have observed a pattern of SID activites that appear to exceed the organization's core mission as defined in ts enabling ordinance. Quite honestly, now that this situation has come to light, | believe we may be getting very close (0 the point where a more formal and comprehensive review of the SID's aciivies, budget allocations, and governance practices will become necessary pina gg ci ASO sh EOE ESTLATH Ce SLMS. 12 JI ere FLAN) 1 note that the RFP schedule calls for a Board vote on contractor selection on March 26. | am asking that no contract be executed in connection with this RFP until the concerns raised in this letter have been addressed and the Township Committee has had an opportunity to review the — Please provide a written response addressing the following: (1) the specific legal authority under which this program is being undertaken, given that its scope explicitly extends beyond the SID's geographic boundaries; (2) a full accounting of all funds associated with this initiative, including the. $4,000 in SID assessment funds reflected in the 2026 budget; and (3) when the 2026 budget ine. for this project was presented to the Township Committee for approval, what description of the project's scope was provided — and specifically, whether the TC was informed that the initiative would extend beyond the SID's boundaries to encompass a township-wide public art master plan. | would appreciate a response within five business days given the timeline involved. -Frank — i A @ MILLBURN CALs cmp ARAL... oe ARaneee § —, RESOLUTION 26-002 RESOLUTION AUTHORIZING EXECUTIVE SESSION FOR THE MILLBURN-SHORT HILLS BUSINESS ORGANIZATION, INC.
